We are looking for a corporate counsel who likes to get things done properly, brings structure, and ensures that agreements are truly secured.

You are part of Newtone Services and report to the General Counsel. As a corporate counsel, you are an important point of contact for the internal organization. You are a substantively strong and pragmatic interlocutor who recognizes legal risks, but always knows how to place them within the broader context. You work on diverse files, including commercial contracts, complaint and claim handling, mergers and acquisitions, and post-acquisition and integration issues. You oversee various interests, map out risks clearly, and come up with solutions that allow the organization to move forward. You don't write theoretical advice just to put it in a drawer. You make legal issues understandable and, together with the colleagues involved, put your advice into practice. In doing so, you get plenty of room to work independently, take initiative, and further specialize yourself.

• You advise colleagues, management, and business lines on legal issues within the internal organization.
• You review, negotiate, and draft commercial agreements and other legal documents.
• You support merger and acquisition processes, the establishment of partnerships, and the implementation of organizational changes.
• You assess Newtone's legal position and maintain correspondence where necessary with internal and external parties, including external lawyers, notaries, or other specialists.
• You follow relevant developments in laws and regulations and translate these into practical consequences for Newtone.
• You identify opportunities for improvement and help to convert these into workable processes, guidelines, and documentation.

You are open, practical, and approachable. You dare to take a stand without losing sight of the collaboration. As soon as you know what is needed, you take action. You enjoy asking follow-up questions, unraveling complex structures, and quickly mastering new subjects.

In addition, you have:

• A completed university degree (WO) in Dutch Law.
• At least 3 years of relevant legal work experience.
• Experience with or a clear affinity for mergers and acquisitions.
• Preferably experience with corporate law, contract law, and complex corporate structures.
• The ability to translate legal risks into clear and pragmatic advice.
• Good communication skills and a sense for different interests within an organization.
• The ambition to further develop and specialize yourself.
• Preferably a completed legal specialization course, or the willingness to undertake one.
